Porter Dodson is pleased to have advised on the successful demerger of Wyvern Health Partnership, working alongside healthcare property specialist MPC and other advisers on a complex transaction involving two GP surgery properties.
The project brought together specialist lawyers from the firm's Commercial Property and Corporate Commercial teams to deliver a coordinated solution across a number of interconnected legal and commercial matters.
Acting for long-standing clients, Porter Dodson's Commercial Property team led on the sale of Hawthorn Medical Centre and Merchiston Surgery and the associated leaseback arrangements. The team, headed by Partner Victoria Walker and supported by Catherine Snook, managed the property aspects of the transaction, with the two sales having a combined value of £3.28 million. Working alongside, the Corporate Commercial team, led by Partner David Culshaw and supported by Matthew Jackson and Remziye Aldogan, provided specialist advice on and delivered the partnership demerger.
Completed in September 2026, the transaction involved multiple stakeholders, including 11 GP partners across two practices, NHS lease approvals, rent negotiations and pharmacy occupation arrangements. Following completion, both practices entered into new 20-year NHS-approved leases, supporting the continued provision of healthcare services to a combined patient population of approximately 26,000.
